1. Agreement
Prostnow ("Prostnow," "we," "us," or "our") operates an online service that helps individuals and teams compose, schedule, and publish content to third-party social and content platforms they connect ("Connected Platforms"). By accessing or using our websites, applications, APIs (if offered to you), or other services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.
If you do not agree, do not use the Service. We may update these Terms from time to time; the "Last updated" date above will change, and continued use after changes take effect constitutes acceptance unless applicable law requires otherwise.
2. The Service
Prostnow provides tools to manage social and content workflows, including (depending on your plan) cross-posting, calendars, drafts, media handling, analytics views, team or workspace features, and integrations with Connected Platforms through official authorization flows (such as OAuth). The Service does not replace the terms, policies, or community guidelines of any Connected Platform—you remain responsible for complying with each platform's rules when you publish through Prostnow.
We may modify, suspend, or discontinue parts of the Service, introduce new features, or impose limits to protect stability, security, or compliance. We will endeavor to give reasonable notice of material adverse changes where practicable.
3. Definitions
- Account: Your registered access to the Service, often secured through our authentication provider.
- User Content: Text, images, video, audio, links, metadata, or other materials you upload, compose, or submit through the Service, including scheduled or published posts.
- Connected Platform: A third-party network or system you authorize Prostnow to interact with on your behalf (for example, to publish posts or read limited account data as permitted by that platform).
4. Eligibility and accounts
You must be able to form a binding contract in your jurisdiction and meet any minimum age we specify in product flows or required by law (typically at least 16, or 13 where applicable law allows with parental consent). You agree to provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for all activity under your Account unless caused by our gross negligence or willful misconduct.
5. Subscriptions, fees, and trial
Certain features require a paid subscription. Fees, billing cycles, and taxes are presented at checkout and in your billing settings. Unless we say otherwise, subscriptions renew automatically until you cancel through the billing or account tools we provide or through our payment processor's customer portal where applicable. You authorize us and our billing partners to charge your payment method on file.
We may offer trials or promotional pricing subject to stated conditions. Refunds, if any, follow the policy shown at purchase or as required by law. Price changes apply to subsequent renewal periods with notice where required.
6. Acceptable use
You agree not to:
- Use the Service in violation of law, Connected Platform rules, or these Terms.
- Send spam, misleading content, malware, or engage in harassment, impersonation, or fraudulent activity.
- Attempt to probe, scan, or test the vulnerability of our systems without authorization, or interfere with other users' use of the Service.
- Misuse OAuth tokens, scrape the Service in bulk contrary to our technical policies, or resell access except as expressly permitted in writing.
- Use the Service to train machine learning models on our outputs or infrastructure without our prior written consent.
We may investigate and suspend or terminate Accounts that we reasonably believe breach this section.
7. User Content and license to us
You retain ownership of your User Content. To operate the Service, you grant Prostnow a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and distribute User Content solely to provide, secure, and improve the Service—including publishing to Connected Platforms you select and generating previews, thumbnails, or logs as needed for reliability.
You represent that you have all rights necessary to grant the above license and that your User Content does not infringe third-party rights. We may remove or restrict User Content that violates these Terms or law, or that Connected Platforms flag to us where we are legally obligated to act.
8. Third-party platforms and services
The Service relies on Connected Platforms and vendors (such as authentication, hosting, database, and payment providers). Their services are subject to separate terms. We are not responsible for outages, policy changes, API limitations, or content moderation decisions made by third parties. If a Connected Platform revokes access or changes requirements, some features may stop working until you reconnect or we adapt integrations.
9. Intellectual property
Prostnow and its licensors own the Service, including software, branding, documentation, and aggregate analytics that do not identify you, subject to your rights in User Content. Except for the limited rights expressly granted in these Terms, no other rights are granted by implication.
10. Confidentiality and feedback
If we share non-public information marked confidential, you will use it only as permitted. If you submit feedback or ideas, you grant us a perpetual, irrevocable license to use them without restriction or compensation, except where prohibited by law.
11. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that we process information as described there.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONTENT WILL REMAIN AVAILABLE ON ANY CONNECTED PLATFORM.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSTNOW AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) FIFTY US DOLLARS (USD $50), IF NO FEES APPLIED.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
14. Indemnity
You will defend, indemnify, and hold harmless Prostnow and its affiliates, officers, and employees from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
15. Termination
You may stop using the Service and, where available, close your Account through in-product settings or by contacting support. We may suspend or terminate access for breach, risk to security or other users, or where required by law. Provisions that by their nature should survive (including licenses you grant where needed to wind down, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Zambia, without regard to conflict-of-law rules, except where mandatory consumer protections in your country apply. Courts in Lusaka, Zambia, shall have exclusive jurisdiction for disputes arising from these Terms or the Service, subject to non-waivable rights you may have elsewhere.
17. General
These Terms constitute the entire agreement between you and Prostnow regarding the Service and supersede prior understandings on the same subject. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
